Terms and Conditions

These Terms and Conditions (the “Terms”) govern your access to and use of the Make it in the Emirates B2B platform connecting factories within the UAE (the “Platform”) operated by [Your Company Name/Legal Entity Name] (referred to as “we,” “us,” or “our”). By accessing or using our Platform, you (“you” or “user”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

 

Acceptance of Terms

By registering for an account, accessing, browsing, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other guidelines or rules posted on the Platform.

 

User Accounts

  • Eligibility: You must be a business operating within the United Arab Emirates to register for an account on our Platform. You represent and warrant that you have the legal capacity to enter into these Terms on behalf of your business.

  • Account Creation: You are responsible for providing accurate and complete information when creating your account. You are also responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.

  • Account Security: You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

  • Account Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to a breach of these Terms. You may also terminate your account at any time. Upon termination, you will no longer have access to your account and certain features of the Platform.

 

Platform Usage

  • Permitted Use: The Platform is intended for B2B networking, sourcing, and collaboration between businesses operating within the UAE. You agree to use the Platform solely for these legitimate business purposes and in compliance with all applicable laws and regulations.

  • Prohibited Conduct: You agree not to:

    • Use the Platform for any illegal, harmful, or unethical activities.

    • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

    • Upload, post, transmit, or otherwise make available any content that is unlawful, defamatory, libelous, harassing, abusive, threatening, invasive of privacy, obscene, or otherwise objectionable.

    • Infringe upon the intellectual property rights of others.

    • Interfere with or disrupt the operation of the Platform or the servers and networks used to make the Platform available.

    • Attempt to gain unauthorized access to any portion of the Platform or any other user’s account.

    • Use any automated means (e.g., bots, spiders) to access or collect information from the Platform without our express written permission.

    • Engage in any form of spamming, advertising, or solicitation without our prior written consent.

    • Transmit any viruses, worms, or other malicious code.

 

Listings and Content

  • User-Generated Content: Users may post listings, profiles, messages, and other content on the Platform (“User Content”). You are solely responsible for your User Content and the consequences of posting or publishing it.

  • Accuracy of Information: You represent and warrant that all information you provide in your listings and profile is accurate, complete, and not misleading. You are responsible for keeping your information up-to-date.

  • Intellectual Property: By posting User Content on the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the operation and promotion of the Platform.

  • Content Moderation: We reserve the right, but have no obligation, to review, monitor, edit, or remove any User Content that we believe violates these Terms or is otherwise objectionable.

 

Interactions with Other Users

  • User Responsibility: Your interactions with other users of the Platform are solely between you and such users. We are not responsible for the conduct of any user and do not endorse any particular user or their offerings.

  • Due Diligence: We encourage you to exercise caution and conduct your own due diligence when interacting with other users, negotiating agreements, and entering into business transactions.

  • Disputes: We are not responsible for mediating or resolving disputes between users. Any disputes should be resolved directly between the parties involved.

 

Fees and Payment (If Applicable)

  • Service Fees: Certain features or premium services on the Platform may be subject to fees. We will clearly communicate the applicable fees and payment terms to you.

  • Payment Processing: Payments for premium services will be processed through our designated third-party payment processors. You agree to abide by the terms and conditions of these payment processors.

  • Taxes: You are responsible for any applicable taxes related to your use of paid services on the Platform.

 

Intellectual Property Rights

  • Our Ownership: The Platform and its original content (including but not limited to text, graphics, logos, images, software, and trademarks) are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws.

  • Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for its intended purpose in accordance with these Terms.

  • No Transfer of Rights: These Terms do not transfer any intellectual property rights from us to you or from you to us, except for the limited license granted herein and the rights you grant to us in your User Content.

 

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE ON THE PLATFORM, INCLUDING USER CONTENT. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

 

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO US FOR THE USE OF PAID SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

 

Indemnification

You agree to indemnify, defend, and hold us harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Platform, your User Content, your breach of these Terms, or your violation of any rights of another party.

 

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Dubai, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

 

Modifications to the Terms

We reserve the right to modify these Terms at any time by posting the updated Terms on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for any updates.

 

Entire Agreement

These Terms, together with our Privacy Policy and any other guidelines or rules posted on the Platform, constitute the entire agreement between you and us regarding your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written.

 

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
